The Wilmington, North Carolina-based company now plans to raise $18 million by offering 3 million shares at $5 to $7, compared with its previous plan for 3.8 million shares at $4 to $5.

KiNRG is an early-stage company developing plans to design, permit, finance and construct its patented renewable HydroThermal Reactor projects. The technology uses ambient heat and evaporative cooling dynamics within a tower structure to create a downdraft that drives turbines to generate electricity.

Following its acquisition of TRINITY on April 1, 2026, KiNRG also operates commercial construction and infrastructure services, with a primary focus on the data center industry.

Founded in 2010, the company booked $257 million in revenue for the 12 months ended December 31, 2025.

IPO Details

KiNRG now plans to offer 3 million shares at $5 to $7, compared with its previous proposal of 3.8 million shares at $4 to $5.

At the midpoint of the revised range, the company expects to raise approximately 7% more in proceeds than under its previous proposal and would command a fully diluted market value of approximately $394 million.

The offering represents a relatively low 4.6% free float of total shares outstanding.

KiNRG plans to list on the NYSE American under the ticker BYOP. R.F. Lafferty & Co. is serving as the sole bookrunner.
