SKN | siRNA Biotech ADARx Pharmaceuticals Prices Upsized IPO at $17, High End of Range

Date:

ADARx Pharmaceuticals raised $446 million in its initial public offering after pricing an upsized deal at $17 per share, the high end of its previously announced $15 to $17 range. The Phase 3 biotechnology company increased the offering to 26.3 million shares, up from an original plan for 21.9 million shares, while AbbVie agreed to purchase shares in a concurrent private placement that will give it a 4.9% stake.

Company Background

ADARx Pharmaceuticals is a clinical-stage biotechnology company developing next-generation small interfering RNA (siRNA) therapeutics for a broad range of diseases. Its pipeline includes three clinical-stage programs and two advanced preclinical programs.

The company’s three clinical-stage candidates target hepatic tissues and are being evaluated for complement-mediated diseases, hereditary angioedema and thrombotic diseases. Its two additional programs are in or advancing toward the IND-enabling stage and target obesity and neurodegenerative diseases, including Alzheimer’s disease.

Based in San Diego, California, ADARx has advanced its pipeline into later-stage clinical development while expanding its financing base through the public offering and strategic investment.

IPO Details

ADARx Pharmaceuticals offered 26.3 million shares at $17 each, generating approximately $446 million in gross proceeds. The $17 price represented the high end of the $15 to $17 proposed range.

The company had initially planned to offer 21.9 million shares, making the final offering materially larger than originally proposed.

ADARx will trade on the Nasdaq under the ticker ADRX. J.P. Morgan, Morgan Stanley, TD Cowen, UBS Investment Bank and LifeSci Capital acted as joint bookrunners.

In a concurrent private placement, AbbVie agreed to purchase shares that will give the pharmaceutical company a 4.9% stake in ADARx. The investment represents approximately 5.2 million shares, compared with 5.0 million shares previously disclosed.

Market Context & Opportunities

The IPO gives ADARx substantial new capital as it advances multiple siRNA programs across a range of therapeutic areas. Its clinical pipeline spans complement-mediated diseases, hereditary angioedema and thrombotic diseases, while its earlier-stage programs broaden its potential development opportunities into obesity and neurodegenerative conditions.

The company’s ability to price at the top of its proposed range while increasing the number of shares offered also resulted in a larger capital raise than initially planned. The concurrent investment from AbbVie adds a strategic pharmaceutical participant to the company’s shareholder base.

Risks & Challenges

ADARx’s development strategy remains dependent on the progress of its clinical-stage and preclinical programs. Its three clinical candidates are still being evaluated, while the obesity and neurodegenerative programs remain at earlier stages of development.

As with other clinical-stage biotechnology companies, future development will depend on advancing candidates through clinical and regulatory processes. The company’s broad pipeline also means that capital allocation and continued execution across multiple therapeutic programs will remain important considerations as it deploys the IPO proceeds.

Closing Paragraph

ADARx Pharmaceuticals’ $446 million IPO represents a significant expansion from its original offering plan, with shares pricing at the top of the proposed range. With three clinical-stage siRNA programs, two additional preclinical programs and a concurrent investment from AbbVie, the Nasdaq debut provides ADARx with additional capital as it advances its pipeline across multiple disease areas.
