SKN | GigCapital10 Files for $220 Million IPO to Target Aerospace and TMT Businesses

Date:

GigCapital10, a blank check company led by longtime SPAC sponsor Avi Katz, has filed with the U.S. Securities and Exchange Commission to raise up to $220 million through an initial public offering.

The Palo Alto, California-based company plans to offer 22 million units at $10 each. Each unit will consist of one share of common stock and one right to receive one-tenth of a share upon completion of the company’s initial business combination.

GigCapital10 plans to list on the New York Stock Exchange under the symbol GIA.U, with D. Boral Capital serving as the sole bookrunner.

Targeting Aerospace and TMT Opportunities

GigCapital10 intends to pursue acquisition opportunities in the aerospace and technology, media and telecommunications (TMT) sectors.

The mandate gives the SPAC flexibility to evaluate companies operating across several technology-driven industries while maintaining a focus on businesses with potential to benefit from continued technological investment and long-term structural growth.

The company has not identified a specific acquisition target as part of the filing information provided.

Avi Katz Brings Extensive SPAC Experience

GigCapital10 is led by Avi Katz, a veteran of the SPAC market who has previously been involved in several GigCapital-sponsored vehicles.

His previous SPACs include GigCapital9, which trades under the symbol GIXXU and was approximately 2% above its $10 offering price based on the information provided, and GigCapital8, which trades under GIWWU and was approximately 5% above its offering price.

Katz also led GigCapital7, which completed its business combination with Hadron Energy in May 2026. Hadron Energy’s shares were trading approximately 82% below the $10 offering price based on the supplied data.

The track record provides Katz with substantial experience across multiple SPAC formations and business combinations as GigCapital10 begins its own search for a target.

Large Capital Base for Future Combination

The proposed $220 million offering would give GigCapital10 a substantial pool of capital to pursue a business combination following its public listing.

The SPAC structure allows the sponsor to raise funds before identifying a private company to acquire. Management can then evaluate potential targets and negotiate a transaction, subject to the applicable shareholder approval and other closing requirements.

The eventual target will be particularly important given the company’s broad focus across aerospace and TMT businesses.

Aerospace and Technology Remain Strategic Growth Areas

Aerospace and technology companies continue to attract capital as businesses and governments invest in advanced communications, computing, connectivity and other next-generation infrastructure.

The TMT mandate also provides exposure to multiple areas of technological development, allowing GigCapital10 to consider companies across telecommunications, digital infrastructure, media technology and related technology-enabled businesses.

The broad strategy could provide management with greater flexibility during its search for an acquisition candidate.

Outlook

GigCapital10 enters the U.S. IPO pipeline with a proposed $220 million offering and an experienced SPAC sponsor at the helm. Its focus on aerospace and TMT businesses gives the company access to several technology-driven sectors that continue to attract significant investment. However, the eventual success of the SPAC will depend on its ability to identify an attractive target and complete a business combination on terms that create long-term shareholder value. Investors will therefore be watching closely for developments following the proposed NYSE listing.

Closing Insights

GigCapital10’s proposed $220 million IPO demonstrates that experienced sponsors continue to pursue new opportunities in the SPAC market. With Avi Katz bringing experience from several previous GigCapital transactions and a mandate covering aerospace and TMT businesses, the new vehicle provides a substantial platform for pursuing a future combination. The identity, valuation and strategic quality of its eventual acquisition target will ultimately determine whether GigCapital10 can convert its capital base and sponsor experience into a successful public-market transaction.
