Evernorth Holdings Inc. has entered the public market through its completed business combination with Armada Acquisition Corp. II, bringing its XRP-focused digital asset treasury strategy to Nasdaq. The company’s warrants now trade under the ticker XRPNW, offering investors a separate, leveraged way to gain potential exposure to the company’s future share price, though their value depends on both the stock’s performance and the warrants’ contractual terms.
From SPAC Combination to a Public XRP Treasury Company
Evernorth is a digital asset treasury company designed to give public-market investors exposure to XRP without requiring them to hold the cryptocurrency directly. Rather than operating as a conventional financial advisory business or a passive investment fund, the company intends to accumulate and actively manage XRP, seeking to increase the amount of the digital asset represented by each share over time.
Founder and Chief Executive Officer Asheesh Birla leads the company. Its investor base includes Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR, among other digital asset and financial technology participants. The company’s strategy combines treasury management with potential institutional lending, liquidity provision and decentralized-finance opportunities linked to the XRP Ledger.
XRPNW Warrants: Trading Terms and Investor Exposure
The business combination with Armada Acquisition Corp. II closed on October 9, 2026. Evernorth’s Class A common stock trades on the Nasdaq Global Market under XRPN, while its warrants trade under XRPNW. Each whole warrant is exercisable for one share of Class A common stock at an exercise price of $11.50, with the warrants scheduled to expire on October 7, 2031, subject to their governing terms.
Unlike a conventional IPO, the transaction was completed through a special purpose acquisition company, or SPAC, merger supported by private placements and other financing. The transaction and related private placements were expected to generate more than $1 billion in gross proceeds and contributed to a strategy built around a substantial XRP treasury. Consequently, the proposed $8 million fundraising target and 20% reduction in shares offered associated with a conventional IPO template do not apply to Evernorth’s warrant listing.
Warrants do not provide the same ownership rights as common shares before exercise, and they can lose value if the underlying stock trades below the exercise price or if the warrants approach expiration without sufficient upside. Investors must also consider liquidity, dilution and the specific provisions governing exercise and settlement.
XRP Treasury Growth Meets a Volatile Digital Asset Market
Evernorth’s opportunity rests on demand for publicly traded vehicles that provide access to digital assets through familiar brokerage accounts and corporate reporting structures. Its active-treasury approach aims to go beyond simply holding XRP by deploying capital across potential yield-generating activities and supporting broader ecosystem development.
That model also introduces risks. XRP price swings can materially affect the value of the treasury, while returns from lending or decentralized-finance activity may be uncertain and could involve counterparty, technology and regulatory exposure. The company must also demonstrate that its operating strategy can create value per share after expenses, financing costs and potential dilution.
What Investors Should Watch After the Market Debut
Evernorth’s Nasdaq debut gives investors a new listed route into the XRP economy, but the warrants are not a direct substitute for either XRP or common stock. Investor interest in XRPNW will likely depend on trading liquidity, the relationship between the share price and the $11.50 exercise price, and evidence that Evernorth can manage its treasury effectively through different market conditions. The central test is whether active XRP management can deliver durable value beyond cryptocurrency price exposure—or whether the structure ultimately behaves like another highly volatile digital asset investment.
