Targeting Immune Regulation and Tissue Repair

Founded in 2018 and headquartered in South San Francisco, TRex Bio develops immunoregulatory medicines for autoimmune and inflammatory diseases. Its Deep Biology platform studies regulatory T cells, or Tregs, which help maintain immune balance and support tissue repair. The company aims to develop treatments that address immune dysfunction in affected tissues rather than relying solely on broad immunosuppression.

Chief Executive Officer Johnston Erwin brings more than three decades of experience at Eli Lilly, including leadership in clinical development, regulatory submissions and corporate development. TRex Bio has raised approximately $220 million in equity financing before its IPO, with backers including SV Health Investors, Pfizer Ventures, Janus Henderson, Alexandria Venture Investments, Delos Capital and Polaris Partners. Lilly and Johnson & Johnson-affiliated JJDC have also invested in the company and participated in pharmaceutical collaborations.

Clinical Pipeline Anchors the Investment Case

The company’s lead wholly owned candidate, TRB-061, is an investigational TNFR2 agonist designed to expand and activate regulatory T cells in inflamed tissue. It is being evaluated in a Phase 1a/b study that includes patients with moderate-to-severe atopic dermatitis. In August 2026, TRex Bio reported positive topline results from the first-in-human Phase 1a study, providing early evidence to support continued development. The company expects to report topline data from the Phase 1b portion in 2027.

A second candidate, TRB-071, targets CD30 and remains in IND-enabling studies. Separately, Lilly is developing TRB-051, a partnered candidate that the pharmaceutical company intends to advance into a Phase 2a trial for lupus with cutaneous involvement in the second half of 2026. These programs broaden the potential opportunity, but none yet represents an approved commercial product.

IPO Proceeds Fund Development, Not Commercial Expansion

J.P. Morgan, Evercore ISI, Cantor Fitzgerald and Stifel acted as lead book-running managers, with Wedbush PacGrow also serving as a book-running manager. The IPO is a primary offering, meaning the company—not selling shareholders—receives the gross proceeds. TRex Bio plans to use the funds to advance TRB-061 and TRB-071 through clinical development and for working capital and general corporate purposes. The offering is not tied to the $8 million target or 20% share reduction in the unrelated Vittoria template.

Clinical and Funding Risks Remain Substantial

TRex Bio has no approved products for commercial sale and has incurred substantial losses, leaving its outlook dependent on clinical results, regulatory decisions and its ability to finance development. Early-stage safety and biological signals do not guarantee efficacy in larger patient trials. Competition from established drugmakers and other biotechnology companies, as well as changes in capital-market conditions, could also affect development timelines and future financing options.

Outlook: Clinical Milestones Will Test the IPO Valuation

TRXB enters public trading with a sizeable cash infusion and a pipeline supported by established pharmaceutical relationships, but its valuation will depend on evidence of meaningful therapeutic benefit. Investors will be watching TRB-061’s Phase 1b results, progress on TRB-071 and Lilly’s advancement of TRB-051. Those milestones—not the IPO proceeds alone—will determine whether TRex Bio can translate its tissue-focused immunology approach into differentiated medicines and sustained investor interest.
