Devonian’s Biopharmaceutical Strategy

Devonian Health Group is a clinical-stage pharmaceutical company focused on therapies for autoimmune and fibro-inflammatory diseases. Its development strategy is centered on Thykamine, a proprietary plant-derived therapeutic candidate being evaluated across several indications, including radiodermatitis associated with cancer treatment and mild-to-moderate atopic dermatitis in children. The company is also investigating potential applications in metabolic dysfunction-associated steatohepatitis and fibrotic diseases.

Chief Executive Officer and President Dr. André P. Boulet leads the company, while Dennis Turpin serves as Chief Financial Officer. Devonian has been shifting toward a more focused development model following the expiration of agreements associated with its Altius generic-drug business. As of April 30, 2026, the company reported approximately C$0.7 million in cash and a nine-month net loss of C$5.7 million, underscoring the capital requirements associated with advancing a clinical-stage pipeline.

IPO Terms and NYSE American Listing

Devonian has applied to list its common shares on NYSE American under the ticker DHGR and its warrants under DHGRW. The proposed offering consists of up to 3.07 million common units, with each unit containing one common share and one warrant. At the assumed $7 midpoint, gross proceeds would be approximately $21.49 million, while the implied post-offering equity value based on approximately 5.85 million shares would be about $41 million before considering potential warrant and option dilution.

ThinkEquity LLC is acting as representative of the underwriters. The offering also includes a 15% over-allotment option. The previously referenced 20% reduction in shares offered does not apply to Devonian’s current offering and should not be presented as an IPO term for the company.

Biotech Market Opportunity

The NYSE American listing could increase Devonian’s visibility among U.S. healthcare investors while providing a larger public-market financing channel for clinical development. The company’s opportunity depends heavily on the ability of Thykamine to demonstrate efficacy and safety in controlled clinical studies and ultimately obtain regulatory approvals in targeted indications.
