SKN | newcleo plc Begins Nasdaq Trading as Advanced Nuclear Platform Raises $247 Million

newcleo plc is entering the U.S. public market on September 22, 2026, following the completion of its business combination with NewHold Investment Corp. III. The transaction provides approximately $247 million in gross proceeds and values newcleo at a pre-money equity value of about $2.4 billion, giving the advanced nuclear company capital to accelerate reactor development, nuclear-fuel production and expansion across the U.S. and Europe.

Building an Advanced Nuclear Platform

Founded in 2021, newcleo is developing advanced modular reactors based on lead-cooled fast reactor technology and a nuclear-fuel platform using mixed-oxide, or MOX, fuel produced from reprocessed nuclear materials. Its vertically integrated model is designed to combine reactor technology, fuel manufacturing and elements of the nuclear supply chain rather than relying entirely on third-party suppliers.

Founder and Chief Executive Officer Stefano Buono continues to lead the company, supported by Deputy CEO and COO Elisabeth Rizzotti and CFO Jon Stranske. The company has more than 900 employees across Europe and the United States and has raised more than $1 billion in total funding to date, including the latest transaction. Existing shareholders rolled over their full equity, while new strategic and institutional investors participated in the PIPE financing.

Nasdaq Listing and Transaction Structure

The ordinary shares will begin trading on the Nasdaq Global Select Market under the ticker NWCL on September 22. The transaction was completed through a business combination with NewHold rather than a conventional IPO, meaning there was no traditional IPO price range or 20% reduction in shares offered. The transaction included a $216 million PIPE and approximately $31 million from NewHold’s trust account, generating approximately $247 million in gross proceeds at closing.

The PIPE was priced at $10 per share and was oversubscribed when announced. The transaction had originally been structured to provide up to $429 million in gross proceeds depending on the amount remaining in the SPAC trust account and other conditions. Goldman Sachs acted as lead placement agent, while Guggenheim Securities served as financial and capital-markets adviser and BTIG as placement agent and capital-markets adviser.

Advanced Nuclear Enters a Strategic Growth Market

newcleo is entering the public market as governments and utilities reassess nuclear power’s role in electricity supply, energy security and decarbonization. Its reactor design is intended to use fast-neutron technology alongside recycled nuclear materials, potentially addressing both fuel utilization and long-term waste-management considerations.

The company is pursuing projects in Europe and the United States, including development of a 10MWth non-nuclear demonstrator in Italy and regulatory and licensing work with U.S. and French nuclear authorities. Its fuel strategy could also provide a second commercial pathway as demand grows for advanced-reactor technologies and alternative nuclear-fuel supply chains.

Risks and Challenges

The opportunity comes with unusually long development timelines and substantial regulatory complexity. newcleo must demonstrate reactor technology, obtain multiple nuclear licenses, develop manufacturing infrastructure and secure commercial customers before its platform can generate the scale of revenue implied by its long-term ambitions.

Capital requirements are another central risk. Nuclear projects can experience construction delays, cost inflation and regulatory changes, while competition is emerging across advanced reactors, small modular reactors and other low-carbon energy technologies. The public listing may improve access to capital, but it also exposes the company to market volatility before its core technologies reach commercial deployment.

What to Watch as NWCL Begins Trading

The market debut shifts investor attention from private financing milestones toward measurable progress in commercialization. Key indicators will include regulatory approvals, development of the Italian demonstrator, U.S. licensing progress, fuel-manufacturing projects, strategic partnerships and the company’s ability to convert its technology pipeline into commercial contracts. For investors, the central question is whether newcleo can turn substantial private-sector backing and advanced nuclear ambitions into an investable growth platform before the substantial capital and time requirements of reactor deployment become the dominant constraint.
