V Capital Sets $30 Million IPO Terms
V Capital Consulting Group, a Malaysian business consulting firm, has set terms for its initial public offering in the United States, seeking to raise $30 million through the sale of 7.5 million shares at $4.00 each. At the proposed IPO price, the Kuala Lumpur-based company would command an estimated market value of $142 million.
V Capital originally filed for a US IPO in January 2026 and last amended its filing in March. As part of the latest filing, the company also changed its lead underwriter, replacing D. Boral Capital with Craft Capital Management.
Consulting Services Focused on Corporate Listings
V Capital Consulting Group provides listing consultancy and business strategy services to corporations. Its offering is structured around end-to-end support for companies pursuing public listings, including organizational readiness assessments, due diligence management, peer and industry analysis, offering-material preparation and ongoing assistance throughout the listing process.

V Capital Consulting Group was formed out of Malaysian consulting firm VCI Global (Nasdaq: VCIG), which itself became Nasdaq-listed in 2023.
The company underwent a restructuring in 2026 under which VCI Global sold 100% of VCCG’s equity to VHKL, an entity controlled by VCIG CEO Hoo Voon Him. The consideration for the transaction was $34 million, which had not been paid at the time of the filing and is scheduled to be settled by December 15, 2028, in cash and/or stock.
Following the sale, Hoo Voon Him transferred his entire controlling stake in VHKL to his wife, Liew Soo Hua, who serves as Executive Director of VCCG.
$11 Million in Recent Revenue
Founded in 2016, V Capital Consulting Group generated approximately $11 million in revenue for the 12 months ended December 31, 2025. The proposed IPO would therefore value the company at roughly 13 times its latest annual revenue at the $4.00 offering price.
The company plans to list on the Nasdaq under the ticker VCCG, giving investors a public-market opportunity to gain exposure to a consulting business focused specifically on corporate listings and strategic advisory services.
Craft Capital Management Leads the Offering
Craft Capital Management will serve as the sole bookrunner for the IPO after replacing D. Boral Capital. The change in underwriting leadership comes as VCCG moves from its earlier filing stage toward a defined offering price and share count.
