Gravity Acquisition, a newly formed special purpose acquisition company (SPAC), has filed with the U.S. Securities and Exchange Commission to raise up to $250 million in an initial public offering.

The company plans to offer 25 million units priced at $10 per unit. Each unit will consist of one share of common stock and one right to receive one-third of a common share upon the completion of an initial business combination.

The SPAC intends to trade on the Nasdaq under the ticker symbol GVACU after completing its offering.

Unlike many SPACs that focus on a single sector or geographic region, Gravity Acquisition has adopted a broad international mandate.

She is joined by Chief Financial Officer Dan Song, CFO of AP Power Corp Renewable Energy, and Chairman Ailong Xie, Chairman and CEO of Joint Fortune Capital.

The management team’s backgrounds span investment management, financial services, and renewable energy, providing experience across multiple industries that could support future acquisition opportunities.

IPO Structure and Listing Details

Gravity Acquisition is headquartered in City of Industry, California, and was founded in 2026.

The company previously submitted its registration confidentially with the SEC on March 24, 2026, before publicly filing for the offering.

Maxim Group LLC will act as the sole bookrunner for the transaction as the company prepares for its Nasdaq debut.
