Special purpose acquisition company Luminous Acquisition has filed with the U.S. Securities and Exchange Commission (SEC) for a $105 million initial public offering, aiming to acquire a large private company through a future business combination.
The Tempe, Arizona-based SPAC plans to raise $105 million by offering 10.5 million units at $10.00 per unit. Each unit will consist of one share of common stock, one warrant exercisable at $11.50 per share, and one right that entitles holders to receive one-quarter of one additional share upon the completion of the initial business combination.
Luminous Acquisition intends to list its units on the Nasdaq under the ticker symbol LUMIU, with ARC Group Securities acting as the sole bookrunner.
