SKN | Market Technology Acquisition Raises $200 Million in IPO to Target U.S. Equities Clearing Infrastructure

Date:

Market Technology Acquisition has completed its initial public offering, raising $200 million as the special purpose acquisition company (SPAC) prepares to pursue opportunities in the U.S. equities and options clearing infrastructure market. The company will begin trading on the Nasdaq under the ticker symbol MTAKU.

The Rhinebeck, New York-based SPAC sold 20 million units at $10 per unit, generating gross proceeds of $200 million. Each unit consists of one share of common stock and one-half of one warrant, with each whole warrant exercisable at $11.50 per share following the completion of a business combination.

Focused on Capital Markets Infrastructure

Unlike many SPACs with broad acquisition mandates, Market Technology Acquisition has adopted a highly specialized strategy centered on the acquisition, recapitalization, and expansion of companies supporting the infrastructure behind U.S. equities and options markets.

The company intends to identify businesses that provide essential clearing, settlement, and post-trade services, positioning itself to benefit from the continued modernization of financial market infrastructure. As trading volumes increase and regulatory requirements evolve, demand for scalable and technologically advanced clearing solutions continues to grow across U.S. capital markets.

Leadership Brings Financial Markets Experience

Market Technology Acquisition is led by Jonathan Slone, who serves as Chief Executive Officer and Chairman. Slone is also the CEO of uSmart Capital, bringing extensive experience in capital markets and financial services.

He is joined by Christopher Hayes, who serves as Chief Financial Officer, Chief Operating Officer, and Director. Hayes previously served as Managing Director and Head of Strategic Transformation at Wedbush Securities, where he gained significant experience in market structure, brokerage operations, and financial technology.

The leadership team’s background is expected to support the SPAC’s strategy of identifying acquisition targets operating within critical areas of market infrastructure.

Growing Opportunity in Market Infrastructure

The U.S. equities and options markets continue to experience increasing levels of automation, electronic trading, and regulatory oversight. Clearing infrastructure providers play a critical role in ensuring the efficient settlement of trades, managing counterparty risk, and supporting market stability.

As financial institutions invest in modernization and seek greater operational efficiency, infrastructure companies serving exchanges, broker-dealers, and clearing organizations remain an area of strategic interest for investors and private capital.

Market Technology Acquisition aims to capitalize on these long-term industry trends by partnering with businesses positioned to benefit from continued technological transformation across financial markets.

IPO Details

BTIG acted as the sole bookrunner for the offering. With the IPO successfully completed, Market Technology Acquisition will begin searching for an acquisition target that aligns with its investment strategy focused on U.S. equities and options clearing infrastructure.

Outlook

Market Technology Acquisition enters the public markets with a differentiated focus on one of the most essential segments of the financial services ecosystem. As capital markets continue evolving through automation, digital transformation, and increasing trading activity, the SPAC’s specialized investment mandate may position it to identify attractive acquisition opportunities within the market infrastructure sector. Investors will now watch for announcements regarding potential merger candidates as the company begins deploying its newly raised capital.
