NorthStrive Acquisition I has filed with the U.S. Securities and Exchange Commission to raise up to $100 million through an initial public offering, joining a growing number of special purpose acquisition companies (SPACs) seeking opportunities in strategic industrial sectors. The blank check company plans to focus on manufacturing businesses serving high-growth markets, including aerospace and defense, industrial technology, and critical supply chains.

The Newport Beach, California-based SPAC intends to offer 10 million units at $10.00 per unit, with each unit consisting of one share of common stock, one warrant exercisable at $11.50 per share, and one right that converts into one-fourth of one ordinary share upon the completion of an initial business combination.

Focus on Strategic Manufacturing Businesses

NorthStrive Acquisition I plans to pursue acquisitions in manufacturing industries benefiting from long-term structural growth and increasing global investment in domestic production capacity.

Management has identified several target areas, including aerospace and defense manufacturing, industrial technology, and businesses supporting critical supply chains. These sectors have attracted significant investor attention as governments and corporations continue investing in reshoring production, strengthening national security, and modernizing industrial infrastructure.

Experienced Leadership Team

The company is led by Chief Executive Officer Michel Tamer, who serves as Managing Director of Mergers and Acquisitions at NorthStrive Companies. He is joined by Chief Financial Officer James Dawson, currently the Controller of GB Capital.

The leadership team brings experience in mergers and acquisitions, financial management, and corporate transactions, positioning the SPAC to evaluate and execute a potential business combination within its targeted industrial sectors.

Offering Structure

Unlike traditional IPOs, NorthStrive Acquisition I is a blank check company formed specifically to identify and merge with an operating business.

Its proposed offering includes warrants and rights in addition to common shares, providing investors with additional upside potential if the SPAC successfully completes a merger and the combined company’s shares appreciate in value.

Following the IPO, the company intends to seek a suitable acquisition target before completing its initial business combination.

Listing Plans

NorthStrive Acquisition I plans to list its units on the Nasdaq, although it has not yet announced an official trading symbol. The company’s regulatory filing currently references the temporary ticker NOSU.RC.

The offering is being managed by D. Boral Capital, which is serving as the sole bookrunner for the transaction.
