SKN | Ionic Digital to Begin Nasdaq Trading July 28 Following Direct Listing

Ionic Digital has announced that its registration statement has become effective and that its shares are expected to begin trading on the Nasdaq Global Select Market on July 28, 2026, under the ticker symbol IOND. Unlike a traditional initial public offering, the company will debut through a direct listing, allowing existing shareholders to sell shares without the company issuing new stock or raising additional capital.

The announcement marks another milestone for the digital infrastructure company, which was created from the assets of Celsius Mining following its emergence from bankruptcy in January 2024. At a recent valuation implied by a private financing round, Ionic Digital could enter the public markets with a market capitalization of approximately $2 billion.

Recent Private Financing Supports Expansion

Ahead of its Nasdaq debut, Ionic Digital secured $400 million in funding during June 2026 through the sale of Series A convertible preferred stock to a group of institutional investors. The preferred shares were priced at $53.00 per share, with investors also receiving three tranches of warrants as part of the transaction.

The financing provides additional capital flexibility as the company continues expanding its digital infrastructure platform while reinforcing the valuation implied ahead of its public market debut.

Transitioning Beyond Bitcoin Mining

Although Ionic Digital originated from bitcoin mining assets, the company has increasingly shifted its strategy toward high-performance computing and cloud infrastructure.

Its largest asset is a 234-megawatt powered data center in Ward County, Texas, which is leased to global hyperscaler Nscale under a 126-month triple-net lease agreement. This long-term contract provides recurring infrastructure revenue while positioning the company to benefit from growing demand for large-scale computing capacity.

The company also continues to operate smaller bitcoin mining facilities located in Reagan County and Glasscock County, Texas, while maintaining a bitcoin treasury that management intends to use strategically to support future business growth.

Growing Demand for AI Infrastructure

The direct listing comes as demand for powered data centers continues accelerating, fueled by artificial intelligence workloads, cloud computing expansion, and enterprise digital transformation.

Companies with access to large-scale electrical infrastructure have become increasingly valuable as technology firms seek additional capacity for AI model training, cloud services, and high-performance computing applications. Ionic Digital’s focus on monetizing powered data center assets places it within one of the fastest-growing segments of digital infrastructure.

Financial Performance

For the 12 months ended March 31, 2026, Ionic Digital reported $152 million in revenue, reflecting contributions from both its infrastructure operations and remaining bitcoin mining activities.

Because the transaction is structured as a direct listing rather than a traditional IPO, the company will not receive proceeds from the sale of shares. Instead, existing shareholders will have the opportunity to sell their holdings once trading begins.

Rather than appointing underwriters, Ionic Digital has engaged J.P. Morgan as its financial advisor for the listing process.

Outlook

Ionic Digital’s Nasdaq debut represents another example of digital asset-related businesses evolving into broader infrastructure providers focused on long-term computing demand. As artificial intelligence, cloud computing, and hyperscale data center investments continue expanding globally, investors will be closely watching how the company executes its strategy of combining powered infrastructure assets with recurring leasing revenue and selective exposure to digital asset operations.
