TCGX Acquisition has filed with the U.S. Securities and Exchange Commission (SEC) to raise up to $75 million through an initial public offering as the special purpose acquisition company (SPAC) looks to pursue business combination opportunities within Asia’s healthcare industry.

The Palo Alto, California-based company plans to offer 7.5 million shares priced at $10 per share, seeking gross proceeds of approximately $75 million. Unlike most SPAC offerings, TCGX Acquisition will not issue units containing warrants or rights, instead offering common shares only.

The company intends to list on the Nasdaq under the ticker symbol TCGX.

The SPAC is led by Chief Executive Officer and Director Chen Yu, the founder and Managing Member of TCG Crossover (TCGX). Supporting the leadership team is Chief Financial Officer and Director Craig Skaling, who also serves as Chief Financial Officer and Chief Operating Officer of TCGX.

Management intends to utilize its investment experience and industry relationships to source acquisition candidates that can benefit from access to U.S. public capital markets while accelerating their long-term growth strategies.

Unlike traditional SPAC offerings that package shares with warrants or other securities, TCGX Acquisition has chosen a simplified capital structure consisting solely of common shares. Founded in 2026, TCGX Acquisition confidentially submitted its registration statement to the SEC on June 23, 2026. Jefferies is serving as the sole bookrunner for the offering.

The IPO proceeds will be placed into a trust account until the company completes an initial business combination or returns capital to investors if no qualifying transaction is completed within the required timeframe.
