Reformation has officially set the terms for its upcoming initial public offering, seeking to raise $225 million as the sustainable fashion company prepares to enter the public markets. The womenswear brand plans to offer 14.1 million shares at a price range of $15 to $17 per share. Approximately 33% of the shares being offered are secondary shares, increasing to roughly 40% when synthetic secondary shares are included. At the midpoint of the proposed pricing range, Reformation would carry a fully diluted market valuation of approximately $1.1 billion.

The company intends to list its shares on the New York Stock Exchange under the ticker symbol REF, with pricing expected during the week of July 27, 2026.

Sustainable Fashion Brand Continues to Expand

Founded in 2009, Reformation began as a fashion label focused primarily on dresses before expanding into a broader portfolio that includes tops, bottoms, sweaters, denim, footwear, and accessories. Today, the company describes itself as the world’s largest sustainable womenswear brand, positioning environmental responsibility alongside modern fashion and premium design.

The company has built its reputation by emphasizing sustainable materials, responsible manufacturing practices, and limited production runs designed to reduce excess inventory. Rather than relying on large seasonal collections, Reformation uses consumer demand data to determine which products should move into larger-scale production.

For the twelve months ended March 31, 2026, Reformation generated $533 million in revenue, demonstrating continued demand for premium sustainable apparel despite ongoing competition within the fashion industry. Investors will closely evaluate the company’s ability to sustain revenue growth while balancing expansion investments, operating margins, and inventory management as a publicly traded company.

Experienced Underwriting Syndicate

The offering is being led by a group of prominent investment banks, including J.P. Morgan, Morgan Stanley, Citi, RBC Capital Markets, Guggenheim Securities, Baird, William Blair, BTIG, and Telsey Advisory Group, which are serving as joint bookrunners for the transaction.
